Franchise Group Settlement

If you are a broker or other nominee who held shares of Franchise Group common stock as record owners during the Class Period (CUSIPs: 53128T102 and 35180X105) (NYSE: FRG) for the beneficial interest of an individual or organization other than yourself, the Court has directed that you either:

1. promptly request from Epiq sufficient copies of the Claim Packet to forward to all such beneficial owners and, after receipt of the requested copies, promptly forward the copies of the Claim Packet to all such beneficial owners; or
2. promptly provide a list of the names and addresses of all such beneficial owners to Epiq, after which Epiq will promptly send copies of the Claim Packet to such beneficial owners.

If you are providing a list of names and addresses to the Settlement Administrator:

1. Compile a list of names and last known addresses of the beneficial owners who held or owned the common stock of Franchise Group (f/k/a Liberty Tax Inc.) (NYSE: FRG) between January 1, 2019 and December 17, 2019, inclusive.
2. Prepare the list in Microsoft Excel format. A preformatted spreadsheet can be found by clicking here.
3. Then you must do one of the following:
   
   
   1. Burn the Microsoft Excel file(s) to a CD or DVD and mail the CD or DVD to:

   2. Email the spreadsheet to info@FranchiseGroupSettlement.com; or
   3. Upload the spreadsheet here; or

If you are mailing the Claim Packet to beneficial owners:

If you elect to mail the Notice and Proof of Claim form to beneficial owners yourself, additional copies of the Notice and Proof of Claim form may be requested via email at info@FranchiseGroupSettlement.com. If you are providing the Notice and Proof of Claim form to beneficial owners, the mailing must be completed promptly. You must also send a statement to the Settlement Administrator at the address above confirming that the mailing was made, and you must retain your mailing records for use in connection with any further notices that may be provided in the Action. Failure to timely forward the Notice and Proof of Claim Form to beneficial owners may affect their legal rights.

Expense Reimbursement

Reasonable expenses are eligible for reimbursement (including postage and costs to compile names and addresses), provided an invoice documenting the expenses is timely submitted to the Settlement Administrator. Please submit your invoice within one month of completing the mailing or providing your file. These expenses will be paid upon request and submission of appropriate supporting documentation.
